Board Chair Description

The following description for Khairi and Little Angels’ Memorial (nonprofit organization).
Disclaimer: Position are not paid position now but as more grants are awarded position will
become paid positions. All board positions are for a three-year term.
1. Serves as the Chief Volunteer of the organization
2. Assist Chief Executive in achieving the organization's mission
3. Provides leadership to the Board of Directors.
4. Help develop the agenda with the Chief Executive.
5. Assist Board's role with strategic planning
6. Appoints the chairpersons of committees, in consultation with other Board members.
7. Serves a member of committees and attends their meetings when invited.
8. Mediate issues confronting the organization with the Chief Executive.
9. Guide Board actions with respect to organizational priorities and governance concerns.
10. Reviews with the Chief Executive any issues of concern to the Board.
11. Review financial planning and financial reports.
12. Lead with fundraising activities
13. Evaluates the performance of the Chief Executive and informally evaluates the effectiveness of the Board members.
14. Make sure annually the performance of the organization in achieving its mission.
15. Performs any responsibilities assigned by the Board.

Vice Chair Description

This position in typically successor to the Chair position.

1. Performs Chair responsibilities when the Chair cannot be available
2. Reports to the Board's Chair
3. Works closely with the Chair and other staff
4. Participates closely with the Chair to develop and implement officer transition plans.
5. Performs responsibilities as assigned by the Board.

Committee Chair Description

1. Sets tone for the committee work.
2. Provide members with information needed to do their jobs.
3. Oversees the logistics of committee's operations.
4. Reports to the Board's Chair.
5. Reports to the full Board on committee's decisions and recommendations.
6. Works closely with the Chief Executive and other staff as agreed to by the Chief Executive.
7. Assigns work to the committee members, sets the agenda and runs the meetings, and ensures distribution of meeting minutes.
8. Initiates and leads the committee's annual evaluation.

Board Member Description

1. Regularly attends board meetings and any special meetings called.
2. Must have a serious commitment to participate actively in a committee.
3. Attend and willingly accepts assignments and completes them correctly and on time.
4. Stay up-to-date with the organization
5. Communicate and builds a working relationship that contributes to gaining more positive exposure for the organization
6. Must be an active participant in the committee's annual evaluation and planning sessions.
7. Must participates in at least half of the organization fundraiser events and projects for the organization.

Board Secretary Description

1. Keep records of the board meetings and ensures effective management of records.
2. Maintain minutes of all board meetings
3. Makes sure minutes are distributed to members after each meeting
4. Must be familiar with legal documents (articles, by-laws, IRS letters, etc.).

Board Treasurer Description

3. Compose annual budget for board members' approval

Qualifications:

Accounting background
1-year experience in a treasurer position
CPA certified (recommended but not required)
Experience with cash management
Organization skills
